Biography
Victoria Chen brings a rare depth of regulatory expertise to Sterling & Associates. Before joining the firm in 2010, she spent eight years at the Securities and Exchange Commission's Chicago Regional Office, where she served as Senior Counsel in the Division of Enforcement. This insider perspective gives her clients an invaluable advantage in navigating the complex regulatory landscape.
At Sterling & Associates, Victoria leads the securities compliance and corporate governance practices. She advises publicly traded companies, private equity–backed businesses, and emerging growth companies on the full spectrum of securities laws, corporate governance requirements, and regulatory compliance matters.
Her SEC experience makes her uniquely positioned to counsel clients on enforcement defense, internal investigations, and proactive compliance program development. Victoria has helped dozens of companies avoid regulatory action through robust compliance frameworks and has successfully represented clients in SEC examinations and investigations.
Victoria is also a trusted advisor on corporate governance matters, working with boards of directors to implement best practices in areas including audit committee oversight, executive compensation disclosure, insider trading policies, and shareholder communication. She has particular expertise in Dodd-Frank Act compliance and the evolving ESG reporting landscape.
